Limited Partnership

In the UK, a limited partnership is a business structure that must have at least one general partner and one limited partner. Limited partnerships can trade under the names of the partners or any other name (with limitations). All partners’ names and the business name (if there is one) must be included on letter heading and invoices. The registered address must be a physical address and the main place of business and in the same country in which the limited partnership is registered. General partners are liable for any debts the business cannot pay and control and manage the business. Limited partners and are only liable for debts up to the amount they have contributed. They cannot manage the business.
